Terms of Service

1. Agreement to Terms

By accessing or using the Mehal Digital website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use our Services.

These Terms constitute a legally binding agreement between you and Mehal Digital. Please read them carefully.

2. Services Description

Mehal Digital provides digital marketing, web development, design, and creative services to businesses and individuals. Specific deliverables, timelines, and pricing are outlined in individual service agreements or proposals.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. Client Obligations

When engaging our Services, you agree to:

• Provide accurate and complete information for project requirements
• Supply necessary assets (logos, images, copy, access credentials) in a timely manner
• Respond to feedback requests and approval requests within agreed timeframes
• Use our deliverables in compliance with applicable laws and regulations
• Pay all fees according to the agreed payment schedule

4. Intellectual Property

Upon full payment, ownership of final deliverables (designs, code, content created by us) transfers to you, unless otherwise specified in your service agreement.

We retain the right to display completed work in our portfolio, case studies, and marketing materials unless a mutual non-disclosure agreement is in place.

Third-party assets (stock photos, fonts, plugins) are subject to their respective licenses. It is your responsibility to secure appropriate licenses for continued use beyond any included licenses.

5. Payment Terms

Project-based work requires a 50% deposit before commencement, with the remaining balance due upon completion or according to agreed milestones. Monthly retainers are billed in advance.

• Payments are due within 14 days of invoice date
• Late payments may incur a 1.5% monthly service charge
• We accept bank transfer, credit card, and PayPal
• All fees are non-refundable once work has commenced

6. Revisions & Scope Changes

Each project includes a defined number of revision rounds as stated in the proposal. Additional revisions or scope changes may incur extra charges at our standard hourly rate.

Major scope changes requested after project kickoff require a written change order and may affect timeline and pricing.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. We will not disclose your confidential business information to third parties except as required to perform the Services or as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, Mehal Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.

Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim during the 12 months preceding the event.

9. Termination

Either party may terminate the engagement with 30 days written notice. Upon termination:

• You remain liable for all fees incurred up to the termination date
• We will deliver any completed work for which payment has been received
• The deposit is non-refundable
• Confidentiality obligations survive termination

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in San Francisco, California.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice. Continued use of our Services after changes constitutes acceptance of the updated Terms.
